These terms of use are entered into by and between you and SDC Canada Incorporated ("SmileDirectClub", "we" or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms of Use"), govern your access to and use of https://smiledirectclub.ca (the "Website"), including any content, functionality and services offered on or through the Website and our application, whether as a guest or a registered user.

 

Please read the Terms of Use carefully before you start to use the Website. By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website.

 

This Website is not intended for minors. To register for any of the shopping and other services referenced in paragraph 2, below (collectively, the "Services") offered on the Website, you must be the age of majority in the territory, Province, or Canadian possession in which you reside. If you are under the age of majority, you may only use the Website with the authorization of your parent or legal guardian. By using this Website, you represent and warrant that you are of legal age to form a binding contract with SmileDirectClub and meet all of the foregoing eligibility requirements, or that your parent or legal guardian has agreed to form a binding contract with SmileDirectClub. If you do not meet all of these requirements, you must not access or use the Website.

 

Depending of the local law of the territory, Province, or Canadian possession in which you reside, Services may not be available to you.

 

Services Provided

We offer an online communication platform for licensed dentists and orthodontists (each, a "Provider") and their patients to connect and communicate via the Website through the use of synchronous and asynchronous telecommunications technologies. Our Website allows you to order an impression kit, the results of which will be reviewed by a Provider to evaluate your current smile, develop and prescribe a customized alignment treatment plan, and supply a premium whitening product directly to your door, allowing you to create a smile that you will love without the hassle of in- person monthly visits. If you prefer, our Website can also provide you with the locations of our SmileShops where you can find out more about our invisible aligners and have our trained staff take a simple scan of your teeth that will assist your Provider to determine if aligner therapy treatment is right for you.

 

SmileDirectClub does not provide medical advice, treatment, or care. SmileDirectClub contracts with a network of independent Providers and dental groups with a network of Canada-based Providers who provide clinical teledentistry orthodontics services. Providers deliver clinical services via the Website to their patients. Providers are not contracted or employed by or under the control of SmileDirectClub. The Providers, and not SmileDirectClub, are solely responsible for determining the appropriateness and quality of the care they render to you.

 

The Providers are independent of SmileDirectClub and are merely using our Website as a way to remotely communicate with you. Any information or advice received from a Provider comes from them alone, and not from SmileDirectClub. Your interactions via our Website are not intended to take the place of your relationship with your regular dental provider, healthcare practitioners, or primary care physician. Neither SmileDirectClub, nor any of its subsidiaries or affiliates or any third party who may promote the Website or our Services or provide a link to our Website, shall be liable for any professional or clinical advice obtained from a Provider via the Website, or for any professional or clinical information obtained on the Website.

 

SmileDirectClub does not make any representation or warranty about the training or skill of any Provider who delivers treatment or renders advice via the Website. You will be connected with a Provider in your Province based on his or her availability and the information you submit through the Website. The content of the Website, including without limitation, text, copy, audio, video, photographs, illustrations, graphics, and other visuals, are for informational purposes only and do not constitute professional medical or dental advice, diagnosis, treatment, or recommendations of any kind by SmileDirectClub. You should always seek the advice of your qualified health care professional with any questions or concerns you may have regarding your individual needs and any medical conditions. All information provided by SmileDirectClub, or in connection with any communications supported by SmileDirectClub, is intended to be for general information purposes only, and is in no way intended to create a provider-patient relationship with SmileDirectClub as defined by any law. While SmileDirectClub facilitates your communication with a licensed dentist or orthodontist, SmileDirectClub does not provide medical or dental services, and the doctor-patient relationship is solely between you and your dentist or orthodontist.

 

Not for Emergencies

SmileDirectClub’s Website, and our content and Services are not for medical emergencies or urgent situations. You should not disregard or delay seeking medical advice based on anything that appears or does not appear on the Website. If you believe you have an emergency, immediately call 9-1-1 or your local emergency responder.

 

You should seek emergency help or follow up care when recommended by a Provider or otherwise needed. You should continue to consult with your regular dentist, primary care provider, and other healthcare professionals as recommended. Always seek the advice of your regular dentist, or a physician, or other qualified healthcare provider concerning any questions you have regarding a medical condition or before stopping, starting, or modifying any treatment or medication.

 

Risks of Teledentistry Services

We provide teledentistry orthodontics support services that permit you to have an impression of your teeth taken with our Impression Kit or a 3-dimensional photograph and have the results of your Impression Kit or photograph reviewed by a dentist or orthodontist in yourProvince, who will determine whether to prescribe your invisible aligner therapy treatment. By ordering an Impression Kit or having photographs taken, you acknowledge the potential risks and limitations associated with teledentistry services, including that the information supplied to your Provider may not be sufficient to provide appropriate care.

 

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Website.

 

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time/frequently/each time you access this Website so you are aware of any changes, as they are binding on you.

We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. These Terms of Use permit you to use the Website for your personal, non- commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.


• You may store files that are automatically cached by your Web browser for display enhancement purposes.


• You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication or distribution.


• If we provide mobile or other applications for download through the applicable application store you may download the application to your mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

Online Purchases and Other Terms and Conditions

We will arrange for shipment of our impression kit and our invisible aligners to you. Title and risk of loss pass to you upon our transfer of our products to the shipping carrier, regardless of prepaid freight by SmileDirectClub or express freight paid by you. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments. We will accept a return of the products you purchase and refund any SmileShop scan in accordance with our Return Policy.

 

If you buy products from the Website, you may have a right to cancel an order if SmileDirectClub does not comply with the applicable consumer protection legislation. If you receive products under an order that you have cancelled in accordance with the applicable legislation, you must return the product(s) to SmileDirectClub unused and in the same condition as delivered, with appropriate purchasing documentation, no later than 30 days after the day the product(s) was/were delivered to you.

 

Linking to the Website and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part.
